Thank you for choosing VDOMA. These Terms of Use (the "Terms") apply to our website and to the use of our software, technology and related services (together, the "Services"). Our brand marketplace is based in Ukraine: the products come from Ukrainian brands and boutiques, and orders are dispatched to you from there.
Please read these Terms carefully before using the Services. By accessing and using the Services, you agree to these Terms. If you do not agree with them, please do not use the Services.
The processing of your personal data is described in a separate document — the Privacy Policy. In respect of the collection, processing and disclosure of personal data, the Privacy Policy prevails.
WHO MAY USE THE SERVICES
The Services may be used and orders may be placed by persons of full legal capacity who have reached the age of 18. By registering an account, you confirm that you are 18 or over and that the information you have given is accurate and up to date.
You are responsible for keeping your password safe and for all actions carried out under your account. If you learn that someone else has accessed your account, tell us at customerservice@vdoma.store. We may suspend or close an account if it is used in breach of these Terms.
USING THE SERVICES
We grant you a limited, non-exclusive and revocable right to use the Services for personal, non-commercial purposes. In using the Services, you undertake not to do any of the following:
• distribute malicious software, interfere with the operation of the site or attempt to gain unauthorised access to it;
• impersonate another person or give false information when placing an order;
• collect data about other users, use automated collection of information, scraping of the catalogue or circumvention of technical restrictions;
• copy, reproduce or use the content of the site for commercial purposes without our written consent.
Access to the site is provided free of charge, but we do not guarantee that it will run without interruption, and we may change, restrict or temporarily suspend access to the site or to individual features without prior notice.
HOW BUYING FROM US WORKS
We work with brands and boutiques (the "Partners"), and the products are held in their warehouses and their stores. Once we have received your order, we pass its contents and the delivery address to the Partner, and the product is dispatched to you directly by them. The price on the site is final; we charge no additional fees on top of it.
Everything else happens through our site: placing the order, payment, contacting support, returns, exchanges and refunds. You do not need to find the Partner or contact them yourself — we remain your single point of contact at every stage.
We are not the manufacturer of the products. In addition to the rights given to you by consumer protection legislation, a product may be covered by a manufacturer's warranty — its terms are stated in the product description or in the accompanying documents.
PRODUCTS, DESCRIPTIONS AND PRICES
We aim to describe products accurately, but we do not guarantee that descriptions, specifications, colours and images are entirely free of errors. The colour of a product on your screen may differ from the actual colour because of your device settings.
All products are available in single or limited quantities and are sold subject to availability. If, after an order has been placed, it turns out that the product is not in stock, we will tell you and refund the amount paid in full.
Prices are stated in the currency displayed on the site and include the taxes required by law, unless stated otherwise. Delivery costs are not included in the price and are calculated separately — the total amount is displayed at checkout before you confirm the order.
We may change prices at any time, but a change does not affect orders that have already been confirmed. If, because of a technical error, the price of a product is clearly wrong, we are not obliged to sell the product at that price: we will contact you and offer you the chance to confirm the order at the correct price, or we will cancel it with a full refund.
DISCOUNTS, PROMOTIONAL CODES AND THE REFERRAL PROGRAMME
Promotional codes and discounts apply on the terms of the particular promotion: within the stated period, where its conditions are met and, as a rule, without being combined with other offers. A discount cannot be exchanged for money and is not paid out in cash. If an order placed using a discount is returned, we refund the amount actually paid.
The referral programme lets you invite friends and receive a discount when the person you invited makes their first purchase. The current terms and the size of the discount are given on the programme page in your account. The programme is run by an external provider, which processes the invitations and sends the service emails.
You may invite only people who do not mind receiving an email from us. We may cancel discounts that have been credited and suspend your participation in the programme if we detect abuse: inviting yourself, creating fictitious accounts, bulk mailings or other actions that circumvent the terms of the programme.
PLACING AN ORDER AND PAYMENT
By placing an order you make an offer to buy the product. The automatic email acknowledging the order confirms that we have received it, but is not yet an acceptance of your offer: we need to confirm that the product is in stock. The order is deemed accepted from the moment we send you confirmation that the product has been dispatched.
Payment is made using the methods available at checkout. The payment is processed by a third-party payment provider; we neither receive nor store your card details. We may decline an order or cancel it if the payment has failed, if the order details are inaccurate, if there are signs of fraud, or if the order breaches these Terms.
If your order is delivered outside Ukraine, the customs duties, taxes and charges of the destination country may apply. How they are to be paid is stated at checkout. By placing an order, you authorise us and the carrier to submit the necessary customs documents and declarations on your behalf and, if the product is returned, to cancel them.
DELIVERY AND PASSING OF RISK
The order is dispatched from the Partner's warehouse or store by delivery services and logistics companies. If an order contains several products from different Partners, it may reach you in several parcels at different times — we make no additional charge for this. The timescales stated on the site are indicative and run from the moment the order is dispatched. We are not responsible for delays caused by the carrier, the customs authorities or circumstances of force majeure, but we will help you resolve the situation.
Title and the risk of accidental loss of or damage to the product pass to you from the moment you or a person nominated by you has received the product. Please check the condition of the parcel on receipt.
If the order could not be delivered to the address given and the parcel has been returned to the sender, we will contact you to arrange re-delivery or a refund.
ORDER CANCELLATION, RETURNS AND EXCHANGES
You have the right to withdraw from a product bought at a distance within 14 days of receiving it, without giving any reason. To do so, tell us of your decision at customerservice@vdoma.store before that period expires — an email is enough, no special form is required.
The product is returned complete, with its saleable appearance, consumer properties, original packaging, tags and labels preserved, together with the document confirming the purchase. The product must show no signs of use. We will give you the return address in reply to your enquiry: as a rule this is the warehouse or store of the Partner that dispatched the order. You still arrange the return through us, and it is we who refund you.
We will refund the amount paid, including the cost of standard delivery, within 14 days of receiving the returned product, using the same method by which the payment was made, unless you have agreed to another method. The cost of return postage is borne by the customer, unless the product is being returned because of a defect.
The right of withdrawal does not apply to products made to individual order, nor to other categories expressly provided for by law. If you are in an EU country, the mandatory consumer protection rules of your country also apply where they give you a greater scope of rights.
An order can be cancelled before it is dispatched — write to us as soon as possible and we will cancel it if the product has not yet been handed over to the carrier.
PRODUCT QUALITY AND WARRANTIES
If a product turns out to be defective or not as described, you have the rights provided by consumer protection legislation, and these Terms do not limit them. Write to us at customerservice@vdoma.store, attaching photographs and a description of the problem — we will look into it and offer a replacement, a repair or a refund. There is no need to approach the Partner or the manufacturer yourself.
Products are sold for personal, domestic use. You undertake not to use them for commercial purposes, including resale, and not to export them to countries subject to sanctions or embargoes.
CONTENT YOU POST
If you leave a review, a rating, a photograph or any other material, you confirm that you are entitled to do so and that the material does not infringe the rights of third parties or the requirements of the law. You grant us a perpetual, royalty-free right to use such material in connection with the operation of the Services, including displaying it on the site.
We may decline to publish, or may remove, material that contains abuse, false information, advertising or other people's personal data, or that infringes the rights of third parties.
INTELLECTUAL PROPERTY
We own, or are licensed to use, the rights in the site and its contents: texts, graphics, logos, icons, images, audio and video materials, compilations of data and software, including their design and layout (the "Content"). These rights are protected by the legislation of Ukraine and by international treaties.
You may view the Content and save copies of it for personal use. Any other use — copying, distribution, modification, publication or use for commercial purposes — is permitted only with our written consent. Brands' trade marks belong to their respective owners.
LINKS TO THIRD-PARTY SITES AND SERVICES
The site may contain links to third-party sites and services, as well as services embedded in our pages. We do not control them and are not responsible for their content, their operation or their terms. You use them at your own risk, and they are governed by their own terms, which we recommend you read.
LIABILITY
We are liable for losses caused by our breach of these Terms, to the extent established by law. Nothing in these Terms limits liability for harm to life and health, for wilful acts, or any liability that by law cannot be limited, and nothing affects your rights as a consumer.
We are not liable for loss of profit, loss of business opportunities, business interruption or other indirect losses, since the Services are intended for personal rather than commercial use.
The site is provided "as is". We do not guarantee that it will run without errors and interruptions, that all errors will be corrected, or that the site is free of malicious code, although we take reasonable measures to that end.
You will reimburse us for losses and expenses, including reasonable legal costs, where they have arisen from your breach of these Terms, from use of the Services in breach of the law or from your infringement of the rights of third parties.
FORCE MAJEURE
We are not liable for failure to perform, or delay in performing, our obligations where this is caused by circumstances beyond our reasonable control or that of the Partners: military action, hostilities and their consequences, a state of emergency or martial law, acts of terrorism, strikes, fires, floods, natural disasters, interruptions to power supply and communications, restrictions imposed by public authorities, or disruption of transport.
In such cases the time for performance is extended for the duration of those circumstances. If they continue for a long time, either you or we may withdraw from the order with a full refund of the amount paid.
SUSPENSION AND TERMINATION OF ACCESS
We may suspend or terminate your access to the Services, and may also cancel an order, if you breach these Terms, if there are reasonable signs of fraud or abuse, or if the law requires it. Where possible we will warn you in advance and explain the reason.
You may stop using the Services at any time. Termination of access does not affect orders already placed and paid for, or your consumer rights in respect of them.
CHANGES TO THE TERMS AND NOTICES
We may change these Terms — for example, where the law, the scope of the Services or the way we work changes. The current version is always published on this page, and the date of the last update is given at the beginning of the document. The version that applies to your order is the one in force at the time the order was placed.
We send notices to the email address given in your account or publish them on the site. You send notices to us at customerservice@vdoma.store.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms, your order and your use of the Services are governed by the law of Ukraine. Disputes are resolved by the courts of Ukraine in accordance with the law.
If you are a consumer, this does not deprive you of the protection afforded by the mandatory rules of law of the country of your permanent residence, or of the right to bring proceedings in the courts of your place of residence. Consumers in the EU may also use the European Commission's online dispute resolution platform.
Before going to court, write to us at customerservice@vdoma.store — we try to resolve disputes directly and, where possible, in your favour.
OTHER PROVISIONS
Invalidity of an individual provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in force.
Waiver of rights. If we have not exercised a right, or have exercised it late, this does not mean that we have waived it. A waiver is effective only in writing and does not extend to subsequent cases.
Entire agreement. These Terms, together with the Privacy Policy and the information on the customer service pages, constitute the entire agreement between you and us and supersede any previous arrangements on the same subject matter.
Assignment. You may not transfer your rights and obligations under these Terms without our consent. We may transfer them to a legal successor on a reorganisation or sale of the business, which will not reduce the scope of your rights.
